Terms of Service

1. Services

theml.co ("we," "us") designs, builds, and maintains a website and/or native iOS application ("the Work") for the client ("you," "Client") on a monthly subscription basis, as described at the time of signup. Available plans currently include Website Only and Website + App Development.

2. No Upfront Fee & Billing

There is no upfront or setup fee. Service begins upon your first monthly payment and continues to bill automatically each month until canceled by either party. Unlimited edits and revisions are included as part of the subscription, subject to fair and reasonable use for ongoing maintenance and updates — not a full redesign or a separate new project.

3. Ownership During the Subscription

While your subscription is active, all source code, design files, the GitHub repository, the hosting account (e.g. Netlify), and any domain name registered by theml.co on your behalf remain the sole property of theml.co. You are granted a limited, non-exclusive license to use the Work for your own business during the subscription term. This lets us keep the whole system — hosting, deployment, and updates — under one roof while you're a subscriber.

4. Buyout & Transfer of Ownership

You may request to purchase full ownership of the Work ("Buyout") at any time — there is no minimum subscription period. The Buyout Fee is a one-time payment equal to one additional month of your current subscription rate, on top of the current month already due.

Upon payment of the Buyout Fee and settlement of any outstanding balance, theml.co will, within a reasonable time:

1. Transfer the GitHub repository to a GitHub account you designate;
2. Transfer the hosting site (e.g. Netlify) to an account you designate; and
3. Assist with transferring any domain registered on your behalf to a registrar account you control.

Once the Buyout is complete, your monthly subscription ends and theml.co has no further obligation to maintain, host, or update the Work.

5. Cancellation or Non-Payment Without Buyout

You may cancel your subscription at any time. If you cancel, or if payment lapses and is not resolved within a reasonable grace period, without completing a Buyout, theml.co retains full ownership of the code, design, repository, and hosting, and will take the website or app offline. No transfer of ownership occurs, and previously paid subscription fees are non-refundable.

6. Support & Maintenance

Ongoing updates, bug fixes, and reasonable content changes are included in your subscription. This does not include entirely new features outside the original scope, third-party service costs (e.g. Apple Developer Program fees, payment processing), or purchase of a domain name unless separately agreed.

7. No Warranty

The Work is provided "as is." theml.co makes reasonable efforts to keep it functional and up to date but does not guarantee uninterrupted uptime, error-free operation, or specific business outcomes (sales, rankings, downloads, etc.).

8. Limitation of Liability

To the extent permitted by law, theml.co's total liability for any claim relating to the Work or this Agreement is limited to the amount you paid in the three (3) months prior to the claim.

9. Changes to These Terms

theml.co may update these terms from time to time. Continued use of the subscription after an update constitutes acceptance of the revised terms.
